1. Acceptance of Terms

By accessing or using Greysound or Greysound Assist (the “Service”), operated by Moonrise Technologies, Inc. (“we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms.

3. Description of the Service

The Service is an AI assistant that helps users with music creation through natural language prompts and voice chats. The Service processes conversations on the cloud but audio files remain local and are not stored on the cloud.

4. Account Terms

  • You may only create one account per person
  • Accounts cannot be transferred, sold, or shared with others
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • We reserve the right to suspend, terminate, or ban accounts at any time for any reason, including suspected abuse

5. Intellectual Property Rights

Your Content

  • We claim no ownership rights to your creative output produced using the Service
  • You are solely responsible for ensuring your use does not infringe on others’ intellectual property rights

Our Service

  • The Service, including all AI responses and underlying technology, is owned by us and protected by intellectual property laws
  • You may not reverse engineer, decompile, or attempt to extract the source code of the Service

License to Use Your Chat Data

  • You grant us a worldwide, perpetual, irrevocable license to use your anonymized chat data for:
    • Research and development
    • Improving our AI models
    • Marketing and case studies
    • Any other business purposes
  • We will not publicly share specific examples of your creative work without your explicit permission

6. Acceptable Use

You agree NOT to:

  • Use the Service if you are under 18 years old
  • Use the Service to create content that infringes on any copyright, trademark, or other intellectual property rights
  • Input hate speech, discriminatory content, or harmful material into prompts
  • Attempt to break, hack, or circumvent any security features of the Service
  • Use the Service to violate any applicable laws or regulations
  • Create multiple accounts or share your account
  • Use the Service to create potentially harmful or dangerous content
  • Violate the terms of service of your DAW or any plugins used with the Service

7. Third-Party Software

  • You must have valid licenses for all DAWs and plugins used with the Service
  • We are not affiliated with any DAW companies unless explicitly stated
  • You are responsible for compliance with all third-party terms and conditions

8. Payment Terms

Subscription

  • Subscription fees are billed in advance on a recurring basis
  • Auto-renewal can be cancelled at any time through your account settings
  • We may modify subscription prices with 30 days notice to existing users

9. Disclaimers and Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. WE SPECIFICALLY DISCLAIM:

  • Any warranties about the accuracy, reliability, or usefulness of AI-generated responses
  • Any guarantee that the Service will be uninterrupted or error-free
  • Any warranty that the Service will meet your specific requirements
  • Any responsibility for DAW crashes, corrupted project files, or data loss
  • Any guarantee about the commercial success or quality of music created using the Service

YOU ARE SOLELY RESPONSIBLE FOR BACKING UP YOUR PROJECT FILES BEFORE USING OUR SERVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Lost profits, revenue, or data
  • Corrupted or lost project files
  • Copyright infringement claims arising from your use of the Service
  • Any damages exceeding the amount you paid us in the past 12 months

11. Indemnification

You agree to indemnify, defend, and hold harmless Moonrise Technologies, Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your infringement of any intellectual property rights
  • Any content you create using the Service

12. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.

13. Modifications to Service and Terms

  • We may modify or discontinue any part of the Service at any time without notice
  • We may shut down the Service entirely at any time without notice
  • We may update these Terms with 14 days notice by posting changes on our website
  • Continued use after changes constitutes acceptance of modified Terms

14. Dispute Resolution

Governing Law

These Terms are governed by the laws of California, without regard to conflict of law principles.

Mandatory Arbitration

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration under the rules of the American Arbitration Association. The arbitration shall be conducted in California, unless you and we mutually agree to conduct it elsewhere. Judgment on the arbitration award may be entered in any court with jurisdiction.

For claims under $10,000, you may choose whether arbitration is conducted in person, by telephone, or based solely on written submissions. We will pay all AAA filing fees for claims under $1,000 unless the arbitrator finds your claim frivolous.

Class Action Waiver

You agree to bring claims only in your individual capacity and not as part of any class or representative action.

Venue

Any arbitration or court proceedings shall take place in California.

15. General Terms

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Service.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in effect.

No Waiver

Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment

We may assign these Terms at any time. You may not assign your rights without our written consent.
